STANDARD TERMS AND CONDITIONS OF SALE
1. Introduction
1.1 "Seller" refers to PERCAT International, the supplier of spare parts, heavy machinery, and lubricants.
1.2 "Buyer" refers to the entity purchasing spare parts, heavy machinery, and lubricants from PERCAT International.
2. Orders and Cancellation
2.1 All orders are subject to acceptance by Percat International.
2.2 All prices quoted are applicable for full orders only.
2.3 Cancellation of orders is not accepted once confirmed. In the event of cancellation, the customer shall be liable to pay 30% of the total order value.
3. Payment Terms
3.1 Invoices are payable within 21 working days from the date of issuance unless otherwise specified on the invoice or order.
3.2 In case of non-payment by the due date, Percat International reserves the right to charge a fixed interest payment of 10% on the outstanding amount.
3.3 In the event of late payment, Percat International may suspend the provision of services without prior warning.
3.4 If Customer fails to pay on the due date any amount payable to Percat International is entitled to suspend Deliveries of Product until all outstanding amounts have been received
4. Debt Recovery
If a payment remains outstanding more than sixty (60) days after the due payment date, Percat International reserves the right to engage the services of a debt recovery company. All legal expenses incurred in the recovery process will be the responsibility of the client.
5. Inspection and Acceptance of Goods
5.1 All Goods shall be deemed received in good condition unless the customer notifies Percat International in writing of any discrepancies or damages within three (3) business days of receipt.
5.2 Failure to notify Percat International within the specified timeframe will be considered as acceptance of the Goods in their delivered condition.
6. Force Majeure
6.1 Neither party shall be liable for any failure or delay in performing its obligations under this agreement to the extent such failure or delay is caused by events beyond the reasonable control of the affected party, including but not limited to acts of God, war, terrorism, pandemics, strikes, or natural disasters.
7. Confidentiality
7.1 Both parties agree to treat any information received from the other party as confidential and shall not disclose or use such information for any purpose other than the performance of this agreement, except with the express written consent of the disclosing party or as required by law.
8. Governing Law
These Terms and the transactions they contemplate shall be governed by and construed in accordance with the laws of the State of Kuwait.
9. Modification of Terms
Percat International reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Percat International website or other notification means.
By placing an order with Percat International, the customer acknowledges and agrees to these Terms and Conditions.
